Terms of Service — Juvat

> DRAFT — attorney review required before use. Bracketed items […] are placeholders. This template does not account for every jurisdiction; the high-risk clauses (arbitration, liability caps, biometric, consumer auto-renewal, export) must be reviewed by licensed counsel for your entity and governing law.

Last updated: [DATE] · Entity: [LEGAL ENTITY, e.g. Juvat LLC], a [STATE] company ("Juvat," "we," "us")

1. Agreement

By creating an account or using the Service you agree to these Terms, the Acceptable Use Policy (AUP), and the Privacy Policy, which are incorporated by reference. If you use the Service for an organization, you represent you're authorized to bind it.

2. Eligibility

You must be at least 18 (or the age of majority in your jurisdiction). Certain features (voice cloning, generative media) require you to be 18+. You represent you are not located in, or a national of, an embargoed or sanctioned jurisdiction, and are not on any restricted-party list. We may screen for and refuse service on that basis.

3. The Service

Juvat provides access to AI models, coding agents, generative media, and related developer tools. juvat-1 is a routed service powered by a selection of third-party open-weight AI models; the specific backend model serving a request may vary and is selected by us. We do not represent that juvat-1 is a single proprietary model. Model availability, features, and pricing may change.

4. Accounts & security

You're responsible for your account, credentials, API keys, and all activity under them. Keep keys secret; notify us of any compromise. We may suspend accounts for security or policy reasons.

5. Acceptable use

Your use is governed by the AUP. Prohibited uses include (without limitation) CSAM or content sexualizing minors; non-consensual intimate or impersonating content; malware, exploits, or fraud; unlawful, infringing, or harassing content; and unauthorized access to systems or data. Violations may result in immediate suspension, content removal, reporting to authorities where required, and termination.

6. AI output — no warranty, your responsibility

AI output may be inaccurate, incomplete, insecure, or infringing. You are responsible for reviewing and validating all output before relying on it, including generated code (for security, correctness, and license compatibility) and any content that could be construed as professional (legal, medical, financial) advice, which we do not provide. Output is provided "as is."

7. Your content & ownership

You retain your rights in the inputs you provide. As between you and us, and to the extent permitted by law and by the underlying model licenses, you own the output you generate, subject to the AUP. You grant us a limited license to process your inputs and outputs solely to provide and secure the Service. We do not use your prompt/response content to train models, and content logging is off by default (see Privacy Policy).

8. Voice, likeness & biometric content

If you create a voice clone or generate a person's likeness, you represent you have all necessary rights and consents, including from the person whose voice or likeness is used. Voiceprints may constitute biometric data; your consent to their creation and our handling is governed by the Privacy Policy. You may not clone or depict a real person (including public figures) without their consent. Generated media may be watermarked/labeled as AI-generated.

9. Agents & automated actions

The Service can perform actions you authorize (running code in a sandbox, editing files, deploying, sending messages, browsing/automating third-party sites, and connecting third-party accounts). You authorize and are responsible for these actions and their consequences. For consequential actions we request your approval; by approving, you accept responsibility. When automating third-party sites or connecting third-party accounts, you represent you have the right to do so and will comply with those sites'/services' terms.

10. Third-party services & connectors

The Service integrates third-party models, connectors, and tools. Your use of them may be subject to their terms. We're not responsible for third-party services. Community-contributed skills/extensions are provided by their authors; use at your own risk per their labeled review tier.

11. Payments, credits & subscriptions

Paid features are billed as prepaid credits and/or subscriptions via our payment processor. Subscriptions auto-renew until cancelled; you may cancel anytime via account settings, effective at the end of the current period. We'll disclose renewal terms and price changes as required by law. Credits are prepaid access to the Service; refund terms are as stated at purchase and as required by applicable consumer law. Taxes may apply. Failure to pay may result in suspension.

12. Usage limits & fair use

We may set rate, usage, and resource limits, and may throttle or suspend use that threatens Service integrity, upstream provider limits, or other users.

13. Suspension & termination

We may suspend or terminate for AUP violation, legal requirement, security risk, non-payment, or risk to the Service or others. You may terminate anytime. On termination, access ends; we'll make your data available for export for a limited period per the Privacy Policy, then delete it per our retention schedule.

14. Intellectual property

The Service, excluding your content and third-party materials, is owned by us. We grant you a limited, revocable, non-transferable license to use it per these Terms.

15. Copyright / DMCA

We respond to valid copyright notices and may remove infringing content and terminate repeat infringers. Send notices to our designated agent at [DMCA CONTACT].

16. Disclaimers

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE [3/12] MONTHS BEFORE THE CLAIM. [Some jurisdictions limit these exclusions.]

18. Indemnification

You'll indemnify and hold us harmless from claims arising out of your content, your use of the Service, your authorized agent actions, or your violation of these Terms or law, to the extent permitted by applicable law.

19. Changes

We may update these Terms; material changes will be notified. Continued use after the effective date constitutes acceptance.

20. Governing law & disputes

These Terms are governed by the laws of [STATE/COUNTRY]. [Dispute resolution — arbitration clause, class-action waiver, and venue to be set by counsel; these clauses have strict enforceability requirements and consumer-law carve-outs.]
